Access Plan Terms of Service
1. Overview
These Terms of Service ("Terms") govern your use of the Access Plan website services ("Services") provided by Gold Dust Web Solutions LLC ("Provider"). By subscribing to the Access Plan, you ("Client") agree to be bound by these Terms.
2. Access Plan Services
The Access Plan includes:
- Five (5) custom web pages
- Website hosting services
- Payment processing integration
- Custom domain email configuration
- Website builder and content management tools
- 0.5 hour of technical support per month
- One (1) custom domain registration and management
3. Subscription and Payment
3.1 Subscription Fee: The Access Plan is available at $100 USD per month.
3.2 Minimum Term: A minimum subscription term of twelve (12) months is required.
3.3 Billing: Payments are due monthly on the anniversary date of subscription commencement. Payments will be automatically charged to Client's credit or debit card.
3.4 Late Payments: Payments received after five (5) days of the due date will incur a late fee of $15 USD. Payments received after fifteen (15) days of the due date will incur an additional late fee of $25 USD. Provider reserves the right to suspend Services for accounts with payments overdue by more than twenty (30) days.
4. Client Responsibilities
4.1 Client is responsible for providing all necessary content and information for website development and maintenance.
4.2 Client must maintain the confidentiality of any access credentials provided by Provider.
4.3 Client agrees to use the Services in compliance with all applicable laws and regulations.
4.4 Client is responsible for the accuracy and legality of all content published on their website.
5. Provider Obligations
5.1 Provider will deliver the Services as described in Section 2.
5.2 Provider will maintain reasonable security measures to protect Client data.
5.3 Provider will make commercially reasonable efforts to ensure website availability, excluding scheduled maintenance periods.
6. Service Delivery Timeline
6.1 Provider commits to delivering the following services within eight (8) weeks of the subscription commencement date, contingent upon Client's timely provision of required content, feedback, and approvals:
- Five (5) custom web pages
- Website hosting services
- Payment processing integration
- Custom domain email configuration
- Website builder and content management tools
- One (1) custom domain registration and management
6.2 Delays in Client's provision of necessary materials, feedback, or approvals may extend the delivery timeline proportionately.
6.3 Provider will communicate any anticipated delays to Client and work in good faith to minimize such delays.
7. Support and Maintenance
7.1 Support is available Monday through Thursday from 9:00 AM to 5:00 PM Mountain Time (MT), excluding holidays.
7.2 Additional support services may be purchased separately at Provider's current rates.
8. Intellectual Property
8.1 Client retains ownership of all original content provided to Provider.
8.2 Provider retains ownership of all proprietary systems, code, and tools used to deliver the Services.
8.3 Provider grants Client a perpetual license to use the website builder tools that will continue after the end of the subscription.
9. Limitation of Liability
9.1 Provider's total liability arising from these Terms shall not exceed the amount paid by Client during the six months preceding any claim.
9.2 Provider is not liable for any indirect, consequential, special, or incidental damages.
9.3 Provider makes no warranties regarding the Services beyond those expressly stated in these Terms.
10. Term and Termination
10.1 Following the minimum term, the subscription will continue on a month-to-month basis until canceled.
10.2 Early termination during the minimum term may result in early termination fees.
10.3 Provider may terminate Services if Client breaches these Terms.
10.4 Upon termination, Provider will provide Client with reasonable access to retrieve their content and data.
10.5 Post-Minimum Term Cancellation: After completing the twelve (12) month minimum term, Client may cancel Services by providing thirty (30) days written notice to Provider. No early termination fees will apply for cancellations after the minimum term has been fulfilled. Client remains responsible for payment of all fees accrued prior to the effective cancellation date.
11. General Provisions
11.1 These Terms constitute the entire agreement between Provider and Client regarding the Services.
11.2 Provider reserves the right to modify these Terms with reasonable notice to Client.
11.3 These Terms shall be governed by applicable laws without regard to conflict of law principles.
11.4 Any disputes arising from these Terms shall be resolved through good faith negotiation or, if necessary, through appropriate legal channels in the jurisdiction specified by Provider.
